Val-d’Or Mining Announces $310,000 Flow-Through Private Placement Financing and Reminds Shareholders of Upcoming AGM

Val-d’Or, Québec, June 23, 2020 — Val-d’Or Mining Corporation (TSX-V:VZZ) (the “Company”) announces that it will conduct a non-brokered private placement offering pursuant to which it will issue up to 1,291,667 Flow-Through Common Shares (the “FT Shares”) at a per FT Share price of $0.24 for gross proceeds of up to $310,000. The FT Shares will be “flow-through shares” as defined in the Income Tax Act (Canada).
The offering is subject to acceptance by the TSX Venture Exchange. Finder’s fees in amounts to be determined may be payable to persons who introduce the Company to subscribers to the offering. The proceeds raised from this offering will be used by the Company to conduct further exploration work on its properties in the Abitibi Greenstone Belt, Québec.
All securities issued will be subject to a hold period of four months and one day from the date of closing of the offering in accordance with applicable securities legislation and the policies of the TSX Venture Exchange.
Annual General Meeting Voting Remind
The Company’s annual general meeting is scheduled for June 26, 2020 at 2:00 p.m. (Eastern time). Given the continuing public health impact of the COVID-19 pandemic, considerations regarding the health and safety of our employees, shareholders and other stakeholders, as well as public health guidelines to limit gatherings of people, shareholders are strongly encouraged to vote in advance by one of the methods described in the 2020 management information circular (“2020 MIC”). We also encourage shareholders to attend the AGM via teleconference by following the registration instructions, as outlined in the 2020 MIC. We request that shareholders return their completed proxies or voting instructions by the proxy cut-off date, Tuesday, June 23, 2020 at 2:00 p.m. (Eastern time).
